Annual KYC of Directors
Annual KYC filing by every DIN holder. Due September 30. Late filing deactivates DIN and attracts a ₹5,000 reactivation fee.
DIR-3 KYC is the annual KYC filing every Director Identification Number (DIN) holder must submit to the MCA. It was introduced in 2018 to clean up dormant DINs and ensure director contact details are current.
Due date: September 30 every year, for every individual who held a DIN as on March 31 of that calendar year.
Three flavours:
- DIR-3 KYC (e-form) — required in the first year of KYC filing, or in any year where the director's mobile/email/address has changed. Requires Digital Signature Certificate (DSC), professional certification (CA/CS/CMA), and full e-form attachments.
- DIR-3 KYC Web — a simpler OTP-based annual verification available when no details have changed since the last filing. Performed by logging into the MCA portal and confirming mobile/email via OTP.
- DIR-6 — filed any time during the year to update changes (address, name, qualifications) in DIN data.
Consequences of missing the deadline:
- DIN is marked 'Deactivated due to non-filing of DIR-3 KYC' on October 1.
- A deactivated DIN cannot be used to sign any e-form, resolution, or document — practically suspending the person from acting as a director.
- Reactivation requires filing the pending DIR-3 KYC with an additional fee of ₹5,000.
- For listed companies and large unlisted companies, a deactivated DIN can derail board meetings and quorum.
Attachments (e-form route):
- Self-attested PAN
- Self-attested Aadhaar or passport
- Proof of address (recent utility bill/bank statement)
- Photograph
- Professional declaration by practicing CA/CS/CMA
Indian-context notes:
- A director with multiple DINs must surrender duplicates via Form DIR-5 before filing KYC — Section 155 violation.
- NRI/Foreign directors must file with apostilled or consularised documents; their non-resident status does not exempt KYC.
