Numbers are sacred.
Your tools should agree.
Cap-table truth, ESOP MTM, dilution scenarios, board reporting — connected to the same numbers your auditor sees.
Six things that eat your month-end.
Cap-table drift
The Excel from the last round does not match the SHA does not match the MGT-1 filed with the ROC. Three versions of truth, none of them current. Kapitalyze keeps one cap-table truth-store wired to your share-allotment events, your SHA, and the statutory register — so the three never separate.
Show me howDilution surprises in the boardroom
Your CEO promised the board X percent post-Series-B, the math is Y, and the new investor noticed first. Kapitalyze lets you model the round in advance with hurdle ratios, ESOP top-up, and anti-dilution baked in — and locks the actual cap table when the round closes.
ESOP accounting across three timestamps
Perquisite tax at exercise under Section 17(2)(vi). IndAS 102 fair-value charge at grant. Dilution accounting at maturity. Three different valuation dates, three different ledger postings — and the auditor wants all three reconciled. Kapitalyze runs the full ESOP accounting waterfall.
Monthly board reporting eats your week
Financials from Tally, KPIs from the data warehouse, runway model in Sheets, hiring plan from HR, cap-table snapshot from yet another place. Kapitalyze assembles the board pack from connected modules — versioned, published, distributed — turning your week into a half-day review.
Cross-border FX exposure
Mauritius holdco for fund flow, Singapore subsidiary for SEA ops, Delaware C-Corp for the US revenue line — and every quarter-close means consolidating across three FX rates with intercompany eliminations. Kapitalyze handles multi-entity consolidation in INR with auditor-grade FX trails.
Reconciling Tally / Zoho / NetSuite
Every quarter someone has to tie out the cap-table truth-store with whatever the accounting system says about share capital, premium, ESOP cost. Kapitalyze sits beside Tally / Zoho / NetSuite, pulls journals nightly, and surfaces variance before the auditor does.
Five rituals,
every month, every board cycle.
Cap-table intelligence brief
Monthly delta in one page: shares issued, shares transferred, ESOP grants and vests, founder fully-diluted, investor pro-rata used and remaining, ESOP runway against the hiring plan. Distributed to the CEO and board on the first of every month, versioned and auto-archived.
ESOP MTM accounting
Grant-date fair value under IndAS 102 (Black-Scholes or binomial, your pick), perquisite tax computation at exercise per Section 17(2)(vi), TDS deduction journal, dilution accounting at maturity. The full ESOP waterfall from grant to exit, with every accounting entry mapped and reconciled.
Dilution scenario modelling
Run Series B at ₹X pre-money with a Y percent ESOP pool top-up and a Z percent anti-dilution clause — see the post-money cap table side by side with the current state. Founder dilution, investor pro-rata, ESOP buffer, all live. Model three scenarios at once, share with the CEO before the term sheet lands.
Monthly board pack
Financials, KPIs, runway model, hiring plan, cap-table snapshot, ESOP movements — assembled from connected modules into a versioned board pack. Published to the directors' portal, with a read-receipts log so you know who has actually opened it before the meeting.
Audit prep, packaged
Statutory registers (MGT-1 to MBP-6), share-movement ledger, ESOP grant log, bank reconciliations, related-party transaction register, board minutes — packaged into a CARO-2020-shaped audit pack. Hand it to the statutory auditor on a single signed URL and your week opens up.
Five surfaces. One numbers spine.
When the SHA, the MGT-1, and the books tell three different stories about the same cap table, board meetings become arguments about whose Excel is right. One ledger, three downstream views, no arguments.
Straight answers.
Does it integrate with Tally / Zoho Books / NetSuite?+
Yes. Nightly pulls of share-capital, premium, ESOP-cost and related-party journals from Tally Prime (XML), Zoho Books (API), and NetSuite (SuiteScript). Variances against the cap-table truth-store are flagged with a reconciliation worksheet you can review and post back.
How is ESOP perquisite tax handled at exercise?+
On exercise, Kapitalyze computes the perquisite under Section 17(2)(vi) as the difference between FMV-on-exercise and exercise price, posts the TDS journal in your accounting system, generates the Form 12BA entries, and tracks the year-end Form 16 line item. The full grant-to-exercise-to-Form-16 chain is auditable.
Can I run a what-if Series A dilution scenario without breaking the cap table?+
Yes — scenarios are sandboxed. Model three rounds in parallel, share with the CEO and board, and the underlying cap table never moves. Only when the deal closes and you promote the scenario to actual does the truth-store update, with audit-trail entries on every share allotment.
Does it produce IndAS-102 compliant ESOP fair-value reports?+
Yes — grant-date fair value under Black-Scholes or binomial lattice (your pick), vesting-period straight-line amortisation, modification accounting for re-pricing and acceleration, and the disclosure note auditors expect in the financial statements.
Multi-entity consolidation — do you handle Mauritius/Singapore holdcos?+
Yes. Multi-entity consolidation with intercompany eliminations, FX translation at quarter-end rates, and entity-wise statutory financials. Mauritius GBL-1, Singapore Pte Ltd, Delaware C-Corp, BVI — supported. Indian audit consolidation under IndAS 110 is the default.
How granular is the audit trail?+
Every share allotment, every ESOP grant, every cap-table edit carries an immutable audit-log entry with actor, timestamp, before/after state, and reason. SHA-256 hashed and tamper-evident. Auditors can pull the full trail for any line item directly from the platform.
One cap table.
Three downstream views. Zero drift.
