Board Meeting Quorum

Minimum directors required to validly conduct a board meeting under Section 174 — one-third of total strength or two directors, whichever is higher.

Quorum is the minimum number of directors who must be present for a board meeting to validly transact business. Governed by Section 174 of the Companies Act 2013.

The rule: Quorum is one-third of the total strength of the Board OR two directors, whichever is higher. Any fraction in 'one-third' is rounded up to the next whole number.

Worked examples:

  • Board of 3 directors → quorum = 2 (one-third = 1, but two is higher).
  • Board of 6 directors → quorum = 2 (one-third = 2; equal to floor of two).
  • Board of 7 directors → quorum = 3 (one-third = 2.33, rounded up).
  • Board of 9 directors → quorum = 3.

Counting directors:

  • Directors participating via video conferencing or other audio-visual means count toward quorum, except for matters explicitly restricted under Rule 4 of the Companies (Meetings of Board and its Powers) Rules 2014 — e.g., approval of annual financial statements, approval of the board's report, prospectus, audit committee meetings for accounts.
  • Interested directors are excluded from the quorum count for items in which they are interested (Section 184). If exclusion drops the meeting below quorum, the remaining disinterested directors form quorum if they are at least two.

What if quorum is not met?

Section 174(4): the meeting stands adjourned to the same day in the next week, at the same time and place, or to such other day as the directors may determine. If at the adjourned meeting quorum is still not met, the directors present form the quorum.

Common pitfalls: Treating a meeting as valid when an interested director was wrongly counted; failing to record video-conferencing participation properly in board minutes; ignoring that audit committee quorum has separate rules under Section 177.
