Who the tool serves

CSTrax is built for CS practices: independent professionals and small firms managing the statutory affairs of dozens or hundreds of client companies. The data model centres on the practice: a client list, a per-client deadline calendar, the firm's filing pipeline, and the CS's DSC-driven submission flow on the V3 portal.

Kapitalyze is built for the company itself. Founders, CFOs, in-house CS, and the board live inside it. When a company on Kapitalyze hires an external CS, that CS gets invited as a collaborator. They file from the same surface the company drafts on. Different center of gravity.

Cap-table and shareholder mechanics

Kapitalyze is a cap-table-native product. Share classes, conversions, transfers, SHA terms, anti-dilution, waterfall — all first-class objects. CSTrax tracks shareholder registers as part of statutory compliance, but it isn't built to model a priced round, run dilution scenarios, or handle convertible-instrument conversion math at term-sheet stage.

If your workflow is 'we just raised, model the post-money cap table, generate share certificates, issue PAS-3', Kapitalyze does that as one continuous transaction. CSTrax handles the post-event compliance side cleanly but starts after the cap-table decisions are made.

MCA filings — drafting versus filing

Both tools generate MCA filing artifacts (PAS-3, MGT-14, DIR-12, AOC-4, MGT-7). CSTrax is genuinely strong on the CS-firm workflow side: bulk drafting across many clients, DSC management for multiple Designated Partners, a deadline dashboard showing every client's overdue forms, billing tied to the filings the practice ships.

Kapitalyze drafts the same forms from the cap-table events that produced them. Issue an allotment, and the PAS-3 is auto-drafted with the right shareholders, share classes, and consideration amounts. AIF, ESOP accounting, AI — the breadth question

These three areas don't exist in CSTrax. AIF management for SEBI Cat I/II/III, ESOP grant-to-exercise tax accounting under IndAS 102 and Section 17(2)(vi), AI-powered term-sheet decode and clause analysis: all Kapitalyze native, none of them on the CSTrax roadmap (rightly, because they're not CS-practice workflows).

If you only need CS workflow software, CSTrax is the right tool. If your company also needs ESOP accounting depth, AIF management, or AI-assisted analysis on top of compliance, those need to live somewhere. Stitching CSTrax + a cap-table tool + an AIF tool is usually more expensive and more painful than Kapitalyze alone.

Your CS gets invited into the client's Kapitalyze workspace as a collaborator — drafts come out clean and ready to file from your existing CSTrax pipeline.

Can Kapitalyze replace CSTrax for our practice?+

If your practice is small (under 20 clients) and you're comfortable running workflows from inside each client's workspace, possibly yes. For larger practices needing bulk filing, capacity dashboards, and per-firm DSC management across many clients, CSTrax is the better practice-side tool — keep it, and bring Kapitalyze in on the company side for the clients that need cap-table depth.

What about MCA filings — who actually files?+

Whoever holds the DSC. Kapitalyze drafts; your CS files. The form is generated from the underlying event (an allotment generates PAS-3, a director change generates DIR-12), validated for completeness, and handed to the CS for V3 portal submission. No manual data re-entry.

Does Kapitalyze handle group company structures?+
